MOU for Materials Suppliers
1. Acceptance of Terms
Yodomo Ltd provides solutions to reuse waste and surplus materials, including providing materials to our members (referred to hereafter as "the Service") subject to the following Terms of Use ("Terms"), which may be updated by Yodomo from time to time. Yodomo will provide notice of significant changes to the Terms via email and social media. By becoming a supplier and providing materials to Yodomo you are agreeing to comply with these Terms.
2. Eligibility
Unless otherwise specified by Yodomo in writing, the Service is only available to individuals who are at least 18 years old. At present, The Service is currently only available in the UK. Yodomo currently distributes materials from the Yodomo Circular Hub in Hackney, London and is growing its hubs across the UK.
All materials supplied need to be considered to be 'domestic-grade' for reuse and will be accepted at Yodomo’s sole discretion. Once materials are accepted by Yodomo, they become the responsibility of Yodomo.
On Yodomo’s acceptance of materials, you will be required to counter-sign a waste transfer note.
3. Privacy and Information Disclosure
Yodomo has established a Privacy Policy to explain to users how their information is collected and used, located here: Privacy Policy. Your use of the Yodomo website or the Service signifies acknowledgement of and agreement to our Privacy Policy.
As a supplier to Yodomo's Circular Hubs, you further acknowledge and agree to provide feedback and relevant data required on the Service.
As a supplier to Yodomo's Circular Hubs, you further acknowledge and agree to receive emails relating to the project. These emails will be used for purposes including but not limited to updates to the Terms and updates to The Service. If you do not have an email address, you agree to supply us with at least one other form of correspondence.
4. Material Use and Monitoring
You agree that the use of the Service is entirely at your own risk. The Service is provided on an “as is” or “as available” basis, without warranties or guarantees of any kind.
If you wish to participate in the service and take away materials for your own personal use, you are welcome to sign up as a Yodomo 'Creative Reuse Member'.
5. Limitations of Liability
Under no circumstances shall Yodomo be liable for direct, indirect, incidental, special, consequential or exemplary damages (even if Yodomo has been advised of the possibility of such damages), resulting from any aspect of your use of the Yodomo website, Yodomo Circular Hubs (or the Hackney Creative Reuse Project) or the Service, whether these damages arise from use or misuse of the Yodomo website, the Hackney Creative Reuse Project or the Service, from the inability to use the Yodomo website, the Hackney Creative Reuse Project or the Service, or the interruption, suspension, modification, alteration, or termination of the Yodomo website, the Hackney Creative Reuse Project or the Service. These limitations shall apply to the fullest extent permitted by law.
6. Indemnity
You agree to indemnify, defend and hold harmless Yodomo, its affiliates, licensors, officers, directors, employees, consultants, licensees and agents from and against any and all claims, demands, liability, damages and/or costs (including, but not limited to, investigation and legal fees) arising out of any breach of the Conditions by you or any other liabilities arising out of your use of the Yodomo Website or the Service, or the use by any other person accessing the Yodomo Website or the Service using your Customer account, Membership and/or your Personal Information.
7. Intellectual Property
Certain of the names, logos, and other materials displayed in the Service constitute trademarks or intellectual property of Yodomo or other entities. Ownership of all such trademarks and other intellectual property remains with Yodomo or those other entities.
8. Changes to Service
Yodomo reserves the right to make changes to the times, dates, feedback and prices of the provision of the Services in order to meet Yodomo's operational requirements, and in order for Yodomo to develop and improve the Services. Where possible the supplier will be given notice thereof.
9. Confidentiality
As a materials supplier you can choose to be an anonymous supplier or a named supplier of materials to Yodomo's Circular Hubs. Suppliers are asked to clearly stipulate if there are any limitations to whether the source of materials are subject to any specific confidentiality terms and provide a confidentiality agreement where applicable.
10. Termination
To terminate your involvement with Yodomo Ltd, please contact us and allow five (5) working days for us to process your request. You may not terminate this Agreement prior to the end of the Commitment Term, and any such termination shall constitute a breach of this Agreement.
You agree that Yodomo, in its sole discretion, has the right to delete or deactivate this Agreement, block your email or IP address or otherwise terminate your access to or use of the Service (or any part thereof), immediately and without notice, if Yodomo believes that you have acted inconsistently with the Terms. Further, you agree that Yodomo shall not be liable to you or any third-party for any termination of your access to the Service. Further, you agree not to attempt to use the Service after said termination. Sections 3-7 shall survive termination of these Terms.
